Terms and Conditions

General Terms and Conditions (GTC) and Information on Online Purchases

1. General Provisions

1.1. The following General Terms and Conditions and information apply to all contracts (orders and deliveries) concluded with customers via the online shop at www.cardcusmos.com (hereinafter referred to as the “Online Shop”), including “Consumers” within the meaning of Section 13 of the German Civil Code (BGB) and “Entrepreneurs” within the meaning of Section 14 BGB. The provider and seller is cardcosmos GmbH, represented by its Managing Directors Robin Traumann, Florian Lenz and Til Müller, Alte Dorfstraße 12a, 24894 Tolk (hereinafter referred to as “cardcosmos”), registered in the Commercial Register of the Local Court of Flensburg under HRB 16880 FL.

1.2. Any terms and conditions of a customer that deviate from these General Terms and Conditions shall only be recognised by cardcosmos if cardcosmos has agreed to them in text form. This shall also apply if cardcosmos performs a customer’s order without reservation despite being aware of conflicting or deviating terms and conditions.

1.3. This document is available at any time on the cardcosmos website. In addition, cardcosmos sends these terms and information to the customer as part of the contract confirmation for every contract concluded via the Online Shop. If the customer has created a customer account in the Online Shop, the contract text (in particular order, shipping and payment details) will be accessible to the customer in the customer area of the Online Shop after conclusion of the contract and login. cardcosmos stores the order data as well as the shipping confirmation email. The contract text is not stored beyond this.

2. Conclusion of the Purchase Contract

2.1. The customer concludes a purchase contract with cardcosmos. During the ordering process, the customer submits a binding offer. Depending on the selected payment method, the contract is concluded either by separate acceptance by cardcosmos or, at an earlier point, when the credit card is charged or the payment process is completed via the selected payment service provider.

2.2. After receipt of the order, the customer will immediately receive an order receipt confirmation by email listing the customer’s order again. The automatic confirmation of receipt merely documents that the customer’s order has been received by cardcosmos and does not constitute acceptance of the offer. The contract is only concluded either when the order is dispatched and the customer is notified accordingly or when cardcosmos issues a declaration of acceptance, which is sent in a separate email (order confirmation). In this email or in a separate email, but no later than upon delivery of the goods, the contract text (consisting of the order, GTC and order confirmation) will be provided to the customer by cardcosmos on a durable medium (email or paper printout) (contract confirmation). If advance payment has been agreed, the contract is concluded upon receipt of payment. cardcosmos is entitled to reject offers from customers without stating reasons. Orders with delivery addresses outside the delivery area specified in the Online Shop are not possible.

2.3. The contract is concluded in German.

3. Special Provisions for Pre-orders of Limited Products

3.1. For limited products, in particular trading cards from limited print runs, cardcosmos offers the possibility of placing a pre-order up to the quantity that cardcosmos itself has ordered from its supplier and which is expected to be allocated according to non-binding information provided by the supplier. This will always be expressly indicated separately in the relevant product descriptions. The customer acknowledges that, in such cases, the obligation to supply is limited because the availability of the products is restricted by the manufacturer’s limited print run and by the uncertainty on the part of cardcosmos regarding the quantity actually supplied, which is beyond the control of cardcosmos. The period between the pre-order and the anticipated delivery may vary and may, where applicable, extend over several months.

3.2. cardcosmos is entitled to withdraw from the purchase contract in whole or in part if and to the extent that the quantity allocated to cardcosmos by the supplier is insufficient to fulfil the customer’s pre-orders. Withdrawal may only be declared provided that cardcosmos is not responsible for the failure to supply or the reduced supply. The decision regarding withdrawal will be made without undue delay after receipt of the supplier’s final notification regarding the quantity to be delivered, but generally not earlier than 4–6 weeks before the anticipated delivery date. Partial withdrawal is excluded if partial performance would be unreasonable for the customer. In this case, cardcosmos is entitled to withdraw from the contract in full.

3.3. cardcosmos will inform the customer of the withdrawal by email without undue delay following the decision pursuant to Section 3.2. The customer acknowledges that this decision may only be made shortly before the anticipated delivery date.

3.4. In the event of withdrawal, any services or benefits received must be returned. Payments already made will be refunded without undue delay and no later than 14 days after receipt of the declaration of withdrawal, using the same means of payment used by the customer for the original payment. cardcosmos will not charge any fees for the refund.

3.5. To the extent that the quantity available to cardcosmos is sufficient, orders will be fulfilled in the order in which the pre-orders were received.

3.6. cardcosmos reserves the right to inform the customer about the status of the pre-order, in particular as soon as cardcosmos receives information from its supplier regarding the quantity to be supplied.

3.7. The customer has the right to withdraw from their pre-order at any time in text form without stating reasons. Section 3.4 shall also apply in this case.

4. Ordering Process

4.1. By selecting the goods and clicking the “Add to Cart” button or, in the case of appropriately marked pre-order products, the “Pre-order” button, the goods are added to the virtual shopping cart. The products in the shopping cart as well as their individual and total prices can be viewed via the shopping cart icon. The customer can change the quantity of individual products or remove products from the shopping cart. By clicking the “Proceed Securely to Checkout” button, the customer proceeds to checkout.

Alternatively, where available, the customer may use one of the offered express checkout payment methods, in particular Shop Pay, PayPal or Google Pay. During the regular checkout process, the customer enters the contact, delivery and payment information required for the order or selects information already stored.

The available shipping and payment methods as well as any shipping costs payable in addition to the purchase price are displayed depending on the delivery address entered. By clicking the “Review Order” button, the customer proceeds to the final review of the order.

Before submitting the binding order, the customer has the opportunity to review the information provided, the selected products, their quantities, the delivery address and the selected shipping and payment method and to correct them using the options provided during checkout or to cancel the ordering process.

By clicking the final button through which the customer expressly confirms that the order entails an obligation to pay, the customer submits a binding offer to purchase.

When using an express checkout payment method, individual ordering steps may take place in a different sequence or on the pages or within the user interface of the respective payment service provider. In this case as well, the customer submits the binding order only by clicking the final button that clearly indicates the obligation to pay.

5. Right of Withdrawal

If the customer is a consumer, the customer has a right of withdrawal in accordance with the following withdrawal instructions.

Withdrawal Instructions

Right of Withdrawal:

You have the right to withdraw from this contract within fourteen days without giving any reason.

The withdrawal period is fourteen days from the day on which you or a third party designated by you, other than the carrier, has taken possession of the last item of goods.

To exercise your right of withdrawal, you must inform us (cardcosmos GmbH, Bremland 34, 24857 Fahrdorf, Tel.: 0176 44681237, Email: support@cardcusmos.com) of your decision to withdraw from this contract by means of a clear statement (e.g. a letter sent by post or an email).

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning the exercise of your right of withdrawal before the withdrawal period has expired.

Effects of Withdrawal:

If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (with the exception of any additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and no later than fourteen days from the day on which we receive notification of your withdrawal from this contract.

For this reimbursement, we will use the same means of payment that you used for the original transaction unless expressly agreed otherwise with you; in no event will you be charged any fees as a result of this reimbursement.

We may withhold reimbursement until we have received the goods back or until you have provided evidence that you have returned the goods, whichever occurs first.

You must return or hand over the goods to us (cardcosmos GmbH, Bremland 34, 24857 Fahrdorf) without undue delay and in any event no later than 14 days from the day on which you inform us of your withdrawal from this contract.

The deadline is met if you send the goods before the 14-day period has expired. You shall bear the direct costs of returning the goods.

You shall only be liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the goods.

6. Retention of Title

6.1. The delivered goods remain the property of cardcosmos until the purchase price has been paid in full by the customer.

6.2. If the customer is an entrepreneur, the following provisions shall apply:

6.2.1. The delivered goods (hereinafter referred to as the “Goods Subject to Retention of Title”) shall remain the property of cardcosmos until all claims arising from the business relationship with the customer have been settled in full.

This shall also apply to Goods Subject to Retention of Title delivered directly to the customer by third parties in the name and for the account of cardcosmos.

In the case of a current account, the retention of title shall serve as security for all outstanding balance claims of cardcosmos against the customer.

If the value of the Goods Subject to Retention of Title exceeds the value of cardcosmos’ claims against the customer by more than 10%, cardcosmos shall, upon the customer’s written request, release securities of its choice in an amount corresponding to the excess value. Declarations releasing securities must be made in writing.

If the Goods Subject to Retention of Title are mixed or processed with other goods that do not belong to the customer, cardcosmos shall acquire co-ownership of the new item in proportion to the share represented by the goods supplied by cardcosmos compared with the shares supplied by third parties.

Pledging or transferring the Goods Subject to Retention of Title by way of security is not permitted without the express consent of cardcosmos.

6.2.2. The customer undertakes to insure the Goods Subject to Retention of Title at its own expense against theft, breakage, fire, water damage and other damage to an appropriate extent.

The customer must inform cardcosmos without undue delay of any interference by third parties with the Goods Subject to Retention of Title. The customer is obliged to inform such third parties of cardcosmos’ rights of retention of title.

Rights arising under insurance policies are assigned to cardcosmos for the duration of the retention of title. cardcosmos accepts this assignment.

6.2.3. In the event of conduct by the customer contrary to the contract, in particular in the event of payment default or a material breach of contractual obligations, cardcosmos is entitled to withdraw from the contract and demand the return of the Goods Subject to Retention of Title.

This shall also apply if an application is filed to open insolvency proceedings in respect of the customer’s assets.

Irrespective of whether a right of withdrawal is exercised, the customer’s right to possession of the Goods Subject to Retention of Title shall cease in the event of payment default.

6.2.4. The customer shall be liable to cardcosmos for the loss of and all damage to the goods from the time of handover until payment has been made in full.

In the event of damage, destruction, seizure or any other intervention by third parties affecting the Goods Subject to Retention of Title, the customer must inform cardcosmos without undue delay, stating the name and address of the third party, and must inform the third party of cardcosmos’ ownership rights.

The customer shall bear all court and out-of-court costs arising as a result of such intervention.

If the Goods Subject to Retention of Title have come into the possession of a third party, the customer shall, upon request, assign to cardcosmos any claims for surrender against that third party.

6.2.5. If the Goods Subject to Retention of Title of cardcosmos are processed by the customer into a new movable item, the contracting parties agree that the customer hereby transfers ownership of the new item to cardcosmos in advance and shall hold it in safekeeping for cardcosmos free of charge.

If Goods Subject to Retention of Title belonging to cardcosmos are processed, combined, mixed or blended with other goods not belonging to cardcosmos, cardcosmos shall acquire a co-ownership share in the resulting item in proportion to the objective market value of the Goods Subject to Retention of Title supplied by cardcosmos compared with the other goods at the time of processing, combining, mixing or blending.

If the customer acquires sole ownership as a result of processing, combining, mixing or blending, the contracting parties agree that the customer hereby transfers to cardcosmos in advance co-ownership in proportion to the objective market value of the Goods Subject to Retention of Title compared with the other goods at the time of processing, combining, mixing or blending and shall hold such goods in safekeeping for cardcosmos free of charge.

To the extent that the items are in the possession of a third party, the customer hereby assigns its claims against that third party, in particular claims for surrender, to cardcosmos in advance; cardcosmos accepts this assignment.

Goods which become the property or co-property of cardcosmos pursuant to the provisions of this paragraph shall be deemed Goods Subject to Retention of Title within the meaning of Section 6.2.1.

7. Purchase Price and Payment Terms

7.1. All prices stated are in euros and include statutory VAT unless the customer is an entrepreneur who has opened a corresponding B2B business account in the Online Shop and is logged in through that account.

In this case, prices are displayed net and the respective price is understood to be exclusive of the applicable statutory VAT.

7.2. Any additional delivery, packaging and/or insurance costs incurred will also be indicated and shall be borne by the customer.

The customer is not entitled to deduct cash discounts.

In the event of direct debit returns or reversals of credit card payments for which the customer is responsible, cardcosmos is entitled to charge an appropriate processing fee which takes into account both the third-party costs incurred by cardcosmos and the internal processing expenses.

7.3. The total purchase price displayed during the ordering process becomes due for payment after the customer has submitted the offer and cardcosmos has accepted it.

The payment methods displayed during the ordering process are available. These currently include, in particular, PayPal, Shop Pay, credit card (including Visa, Mastercard, American Express, Maestro and UnionPay), Apple Pay, Google Pay, Klarna, iDEAL/Wero, BLIK, MobilePay and bank transfer.

The payment methods actually available may vary depending in particular on the delivery country or market.

7.4. If the due date for payment is determined according to the calendar, the customer shall be in default merely by failing to make payment by the relevant date.

If the customer is a consumer, the customer shall pay cardcusmos.comfault interest at a rate of five (5) percentage points above the applicable base interest rate per annum.

If the customer is an entrepreneur, the customer shall pay cardcusmos.comfault interest at a rate of nine (9) percentage points above the applicable base interest rate per annum.

The customer’s obligation to pay default interest shall not exclude cardcosmos from asserting further damages caused by the default.

With respect to merchants, cardcosmos’ entitlement to commercial maturity interest pursuant to Section 353 of the German Commercial Code (HGB) shall remain unaffected.

7.5. If the customer is an entrepreneur, the following shall additionally apply:

If, after conclusion of the purchase contract, it becomes apparent that cardcosmos’ claim for payment is at risk due to the customer’s lack of financial capacity (e.g. due to an application to open insolvency proceedings), cardcosmos shall be entitled to demand immediate security or cash payment without deduction for all goods already delivered but not yet paid for and advance payment or cash payment for all goods still to be delivered.

If the customer does not comply with cardcosmos’ request for security or payment within the specified period, cardcosmos shall be entitled to withdraw from all supply contracts with the customer.

7.6. Set-off against claims of cardcosmos is excluded unless the counterclaim is undisputed or has been finally established by a court of law.

The customer is entitled to exercise rights of retention only insofar as the customer’s claims arise from the same contractual relationship.

8. Delivery / Partial Deliveries

8.1. cardcosmos is entitled to make early and/or partial deliveries but will always endeavour to fulfil an order in a single delivery.

If the customer is not a consumer, the customer shall bear the transport risk.

The customer will not be charged any additional costs arising from partial deliveries.

Partial deliveries are excluded where they would be unreasonable for the customer.

8.2. Unless expressly stated otherwise in the product description, delivery shall take place no later than five (5) working days after acceptance of the customer’s offer.

In the case of pre-orders, the delivery date and the availability of the goods as such are unknown. Section 3 shall apply.

9. Warranty

9.1. If the purchased item is defective, consumer customers shall have the statutory rights relating to defects against cardcosmos unless otherwise agreed below.

The warranty period for consumers is two years.

9.2. Minor technically unavoidable deviations in quality, colour, width, weight, features or design shall not constitute a defect.

This shall also apply to customary trade deviations unless cardcosmos has declared in writing that delivery will conform exactly to a sample.

9.3. If the customer is an entrepreneur, the following provisions shall apply by way of derogation:

9.3.1. If the goods are defective, cardcosmos shall, at its discretion, provide subsequent performance by repairing the goods or providing a replacement delivery.

If subsequent performance fails or if further attempts at subsequent performance would be unreasonable for the customer, the customer shall be entitled to reduce the purchase price or withdraw from the contract.

9.3.2. The warranty period shall always be one year, whereby the statutory limitation provisions of Sections 478 and 479 BGB concerning recourse claims against the supplier shall remain unaffected.

The statutory limitation provisions shall also remain unaffected in respect of claims for damages by the customer arising from injury to life, body or health or from intentional or grossly negligent breaches of duty by cardcosmos or its vicarious agents.

9.3.3. The commercial duties to inspect goods and give notice of defects shall remain unaffected.

10. Liability

10.1. cardcosmos shall be liable for damages caused by cardcosmos, its legal representatives or vicarious agents only in cases of intent or gross negligence.

Statutory liability for damage caused intentionally or negligently resulting from injury to life, body or health, liability under the German Product Liability Act, liability in the absence of a characteristic for which cardcosmos has assumed a guarantee, and liability for culpable breaches of material contractual obligations shall remain unaffected.

Material contractual obligations are, in abstract terms, obligations whose fulfilment is essential for the proper performance of the contract and on whose fulfilment a contracting party may regularly rely.

Liability for breaches of material contractual obligations caused by ordinary negligence shall be limited to compensation for the typical foreseeable damage.

10.2. The limitation period for claims for damages by the customer against cardcosmos shall be one year.

For claims under the German Product Liability Act, as well as in cases of grossly negligent or intentional conduct by cardcosmos, injury to life, body or health, and the assumption of a guarantee within the meaning of Section 10.1, sentence 2, the respective statutory limitation periods shall apply.

11. Data Protection

To the extent that cardcosmos collects customer data in connection with the processing of orders, cardcosmos complies with the data protection provisions of the European General Data Protection Regulation (GDPR).

Further information can be found in the cardcosmos Privacy Policy at:

https://cardcusmos.com/policies/privacy-policy

12. Dispute Resolution Procedures

cardcosmos does not participate in dispute resolution proceedings before a consumer arbitration board and is not obliged to do so.

13. Place of Performance, Jurisdiction and Applicable Law

13.1. Contracts between cardcosmos and the customer shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the rules of private international law.

The statutory provisions restricting the choice of law and providing for the applicability of mandatory provisions, in particular those of the country in which the customer has their habitual residence as a consumer, shall remain unaffected.

13.2. The exclusive place of jurisdiction and place of performance for all disputes arising from a contractual relationship between cardcosmos and the customer in accordance with these General Terms and Conditions shall be Fahrdorf, Germany, provided that the customer is a merchant, a legal entity under public law or a special fund under public law.
